A One Person Company (OPC) is a type of company that allows a single individual to incorporate and operate a business with a corporate structure. An OPC must file annual returns such as AOC-4 and MGT-7A. Although AGMs are not mandatory, basic compliance is required. These obligations are simpler than for private or public companies, easing regulatory pressure on solo founders.
6. No Minimum Capital Requirement
The RBI has exempted the Micro Finance Company to have any minimum paid-up capital requirements which means, you can start your microfinance business with nominal amount.

One Person Company Registration process

1. Preprations of Digital Signature (DSC)
1st we apply for DSCs of all the Directors & members. Digital Signatures are required for signing all the documents while incorporating your Section 8 Micro Finance company.
2. Filing Application for Director's DIN
The next step is the application of Director Identification Number (DIN). It is the unique number allotted by the MCA to each of the directors of the Section 8 Micro Finance Company.

Documents Required:

Eligibility Criteria/Checklist under the Companies Act, 2013:

    1. 1. Citizen Type
      Only a natural person who is both an Indian citizen and a resident of India (i.e., has stayed in India for at least 182 days during the preceding financial year) is eligible to incorporate an OPC. Corporate entities or foreign nationals are not allowed to form an OPC.

      2. Number of OPCs
      An individual is restricted from incorporating more than one OPC. Also, they cannot be a nominee in more than one OPC at the same time. This ensures that the benefits of the OPC structure are limited to true single-owner operations.

      3. Business Restriction
      OPCs cannot be registered under Section 8 of the Companies Act, 2013 (which is meant for charitable or not-for-profit companies). They are also prohibited from engaging in NBFC activities, including investment in securities of other companies or financial lending.

      4. Nominee Requirement
      At the time of incorporation, the sole member must appoint a nominee who will take over the company in case of death or incapacity. The nominee’s written consent (via Form INC-3) is mandatory and can be updated later if needed.
