Procedure for incorporation of a Section 8 company

Step 1

Obtain Digital Signature Certificates (DSC) for proposed directors, then file Form DIR-3 with the ROC to get Director Identification Numbers (DIN), attaching valid identity and address proofs as required.

Step 2

Once Form DIR-3 is approved by the Registrar of Companies (ROC), a unique Director Identification Number (DIN) is issued to the proposed directors, authorizing them to function officially within the company.

Step 3

Form INC-12 must be filed with the Registrar of Companies (ROC) to apply for a Section 8 Company license, along with all necessary documents supporting the company’s non-profit objectives and structure.

Step 4

After approval of Form INC-12, the Registrar of Companies issues the Section 8 Company license in Form INC-16, officially permitting the company to operate with charitable or non-profit objectives.

Step 5

After receiving the Section 8 license, file the SPICe+ Form with the Registrar of Companies (ROC) for company incorporation, attaching all required documents and details as per regulatory guidelines.

If the Registrar of Companies (ROC) is satisfied with all the submitted forms and documents, a Certificate of Incorporation is issued to the Section 8 Company. This certificate serves as official proof of the company’s legal existence. Along with it, a unique Company Identification Number (CIN) is allotted, which is essential for all future legal and regulatory communications and filings.

Rent Agreement (Company name should be mentioned with complete address) (on Rs. 100 stamp paper with Notary)
Board resolution authorising Director for GST in the company
Digital signature certificate of All Directors.
DIR-2 of all Directors.
NOC (Company name should be mentioned) (on Rs. 100 stamp paper)
